Abstract

The authorized capital of a Limited Liability Company has such a
fundamental position in the development and growth of the economy in Indonesia that all efforts are needed by the government to create a conducive and inclusive business environment. One of the efforts made by the government is to make changes to the authorized capital regulations of Limited Liability Companies. The change in the authorized capital of a Limited Liability Company has its own background of changes after the enactment of Law Number 11 of 2020 concerning Job Creation and these changes have implications for the establishment, operational, and business practices in Indonesia. This study aims to analyze the background of the change in the authorized capital of a Limited Liability Company and its implications for the establishment and operational process of a Limited Liability Company.
The approach method used in this study is normative juridical by using research specifications in the form of qualitative descriptive and additional data obtained from interviews.
Changes in the regulation of the authorized capital of Limited Liability Companies in Indonesia have undergone various significant transformations, starting with the promulgation of Law Number 1 of 1995 concerning Limited Liability Companies which first regulated the authorized capital of PT. Furthermore, Law Number 40 of 2007 concerning Limited Liability Companies introduced a number of important changes aimed at improving the efficiency and transparency of companies. Finally, the 2020 Job Creation Law brings massive reforms with the main goal of encouraging ease of doing business and investment, especially by simplifying the authorized capital requirements for micro, small, and medium enterprises (MSMEs), but also poses new challenges related to legal certainty that require further attention and supervision.
